1. Definitions

1.1. The following terms have the meanings set forth below:

“Website Administration” refers to BRAINYQ LTD, a company registered under the laws of the United Kingdom (company registration no. SC790757) located at 39/5 Granton Crescent, Edinburgh, EH5 1BN, United Kingdom, email address: support@key2games.com.

The “Terms & Conditions”, otherwise known as the Agreement, is a public offer by the Administration to conclude a license agreement for the purchase of goods by remote method.

An individual who has access to the Site via the Internet is referred to as a “User.”

The term “Goods/Products” refers to the licenses (activation keys) of computer games and other digital products, the particulars of which are presented on the Site.

An “order” constitutes a request by a user to receive the aforementioned goods, executed in accordance with the Site’s stipulated requirements.

“User Profile” is an account on the Website registered by the User with the express consent to use the Services for personal use only.

The term “Platform” refers to the Internet site located at https://key2games.com/.

The term “Parties” is used to collectively refer to the User and the Website Administration.

1.2. In the event that singular terms are referenced in these Terms & Conditions, the plural form is to be understood, and vice versa. Furthermore, references to any gender shall include all genders.

  1. Acceptance of Terms & Conditions

2.1. By utilizing the Platform, the User consents to be bound by and accept these Terms & Conditions in their totality, without alteration.

2.2. The user confirms their legal capacity to enter into binding agreements in accordance with the applicable laws of their country of residence. Furthermore, they attest that no applicable laws restrict or prohibit their utilization of the aforementioned platform.

2.3. KEY2GAMES reserves the right to amend or update these Terms & Conditions at any time. Notwithstanding, it should be borne in mind that any changes will not affect any rights acquired under the previous version of the Terms & Conditions.

2.4. Notifications regarding any modifications to the Terms & Conditions will be disseminated through the designated platform.

2.5. The amended Terms and Conditions shall be effective fourteen days after their publication on the Platform. For first-time users, the version valid at the time of registration will apply.

2.6. In the event that a User does not consent to the amended Terms & Conditions, the User shall cease to use the Platform.

  1. User Profile

3.1. The creation of a user profile on KEY2GAMES and the subsequent access to the platform’s features are offered free of charge, contingent upon adherence to the stipulated Terms & Conditions.

3.2. In order to take advantage of the features offered by the Platform, individuals are required to register by completing the registration form, which is available on the Platform.

3.3. It is imperative to ensure that each User has only one profile on the Platform.

3.4. To access the Platform, users must possess an internet-enabled device and an updated web browser.

3.5. During the registration process, users are required to submit a valid email address and create a secure password.

3.6. Following the successful completion of the aforementioned registration steps, users will be granted access to their personal profile.

3.7. Users must ensure that their email address is always up-to-date and valid, and they are obligated to promptly update it in case of any changes.

3.7. It is the responsibility of the User to ensure that his or her e-mail address is current and valid, and to update it promptly in the event of any changes.

3.8. Furthermore, the User consents to the processing of his or her personal data by KEY2GAMES for the purposes of delivering services on the Platform and ensuring its operability.

3.10. KEY2GAMES reserves the right to temporarily suspend access to some or all features of the Platform due to technical issues, maintenance, or other necessary changes. Efforts will be made to restore access promptly. For Users classified as consumers, such suspension will also comply with relevant consumer protection laws.

  1. Security of the Profile

4.1. In order to access the features of the Platform, it is necessary for the User to enter his or her email address and password on the Sign-Up page.

4.2. It is aware that its email address and password are personal and distinctive identifiers.

4.3. The User agrees to maintain the confidentiality of their email address and password, and to refrain from disclosing them to third parties. Unauthorized disclosure of these credentials may result in harm to KEY2GAMES or other users.

4.4. The User is liable for preventing unauthorized access to his or her profile and for any loss or damage resulting from such access.

4.5. The user is entirely responsible for all activities carried out under his profile, including those carried out by persons to whom he or she grants access. If the user suspects that unauthorized access has been attempted, he or she is obligated to notify KEY2GAMES without delay.

  1. Terms of Payments

5.1. The financial transaction for the products must be finalized prior to the delivery of the goods.

5.2. The transaction is processed through a third-party payment system, wherein the User is required to furnish the requisite payment information.

5.3. Payment can be performed using any of the available payment methods listed on the Platform.

5.4. It is mutually acknowledged that charges may be levied by financial institutions or payment systems for the processing of transactions.

5.5. KEY2GAMES accepts the following payment methods for transactions conducted on the platform:

– Major credit and debit cards (Visa, MasterCard).

– Digital wallets and digital payment systems (e.g., ApplePay, GooglePay).

5.6. Prices displayed on the Platform are inclusive of all applicable taxes, including value-added tax (VAT), in accordance with legislation of the United Kingdom. Any supplementary fees, such as transaction fees or delivery charges for digital goods, will be explicitly outlined prior to the completion of a purchase.

5.7. KEY2GAMES facilitates the security of all payments:

– Payments are processed through secure, PCI-compliant gateways.

– All sensitive payment data is encrypted using industry-standard protocols (e.g., SSL/TLS).

– KEY2GAMES does not store full payment card details of the User on its servers.

  1. Products Purchase and Delivery

6.1. In the event of a successful payment, the user will receive the product in an electronic format.

6.2. Delivery of the ordered products shall be made within 72 hours of confirmed payment, unless the order necessitates further verification. The rationale behind manual processing of orders is determined by the Platform Administration.

6.3. Following the completion of payment for the designated goods, the User is to receive the activation key in his/her user profile on the Platform. It is incumbent upon the User to exercise due diligence in safeguarding the confidentiality of the activation key and to ensure the security of their user profile.

6.4. For products that have been pre-ordered, delivery will occur on the release date specified in the Offer.

6.5. It should be noted that pre-orders may be cancelled up to three days prior to the release date, on the condition that the specified product or any associated premiums have not yet been delivered. It is important to note that refunds for cancellations made after this designated period may be denied.

6.6. It is acknowledged that KEY2GAMES may offer temporary fee waivers for promotional purposes or new services, as may be published on the Platform.

6.7. The delivery time for pre-ordered Products may vary due to various factors, including the supplier’s location, time zones, or legal restrictions. However, these deliveries will adhere to the United Kingdom release dates.

  1. Action Forbidden

7.1. Users are prohibited to:

  1. a) It is strictly prohibited to utilize the Platform for any purposes other than those expressly permitted by KEY2GAMES, as stipulated in current Terms & Conditions.
  2. b) Participate in unlawful activities in accordance with any prevailing legislation or violate the legal prerogatives of third parties, encompassing intellectual property rights, privacy rights, or data protection rights.
  3. c) Disseminate incorrect or deceiving information that may cause harm to KEY2GAMES, other Users or third parties.
  4. d) Engage in disingenuous representation of any individual or entity or misrepresent affiliation with any person or organization.
  5. e) The circumvention or disablement of security features of the Platform.
  6. f) Defamation, offense, or misdirection of other users is grounds for immediate suspension of access privileges.
  7. g) Any attempt to modify, tamper with, or create derivative works based on the Platform’s source code is strictly prohibited.
  8. h) Interference with the Platform’s operations or the disruption of access by other users, as well as the distribution of harmful software.
  9. i) Initiate the unauthorized discovery or access of other users’ passwords or profiles.
  10. j) Utilize illicit or undisclosed funds for financial transactions, including the misappropriation or unauthorized use of credit/debit cards.
  11. k) Engage in money laundering or associate fraudulent activities.

7.2. KEY2GAMES hereby undertakes not to take any such action:

  1. a) Products that have been previously used or activated.
  2. b) Supply defective or invalid products.
  3. c) Providing products obtained through unlawful methods.
  4. d) Engage in deceptive trade practices by presenting misleading product descriptions.
  5. e) Not respond to Buyer’s complaints.

7.3. In the event that a User engages in actions that contravene the stipulated Terms & Conditions or applicable laws, KEY2GAMES reserves the right to block or suspend the User’s profile.

7.4. In the event that individuals find themselves in a position where their rights have been infringed upon by Platform content, they are advised to notify KEY2GAMES via email at support@key2games.com or through the Platform’s Support section, providing the following information:

  1. a) Please specify the infringed right and provide proof of possession.
  2. b) Identify and locate the offending content.
  3. c) Evidence supporting the demand and the right to intervene.
  4. d) A declaration that the notifying party has no rights in the offending content.
  5. e) Contact information of the reporting party, such as name, address and e-mail, for the purposes of processing by KEY2GAMES.

7.5. Once a valid claim is received, KEY2GAMES will immediately remove the offending content and will send a notification to the responsible User.

7.6. The responsible User may respond with supporting evidence of his/her right to the Content, such as licenses or possession documents.

7.7. Content may be permanently deleted from the Platform if:

  1. a) The responsible User cannot be determined.
  2. b) The User fails to respond within 14 (fourteen) days.
  3. c) The User does not provide any proof of his/her rights or does not reach an agreement with the complaining party.
  4. d) The reporting is made by competent regulatory authorities.
  5. e) KEY2GAMES has received reliable information indicating that the content is in violation of the law.

  1. Intellectual Property Rights

8.1. The exclusive proprietary interests in the Platform are held by the Platform Administration.

8.2. The proprietary rights to the product are held by their respective holders.

The user is granted the right to utilize the product solely for personal, non-commercial purposes.

  1. Liability issues

9.1. The exchange of information between users and the Platform administration is facilitated electronically.

9.2. KEY2GAMES is not held responsible for damages that may be incurred as a result of the following:

  1. a) Disruptions or impediments to the utilization of the platform that are occasioned by circumstances of force majeure or beyond the control of KEY2GAMES, including, but not limited to, the presence of a virus.
  2. b) Violations of these Terms & Conditions by users, including the provision of false information, are considered to be in violation of these terms.
  3. c) Disputes arising between Users.

9.3. The utilization of harmful software or the exploitation of promotions for unfair advantage is not permitted and may result in profile termination and seizure of funds.

  1. The Resolution of Disputes and Complaints

10.1. In the event that a customer has a complaint regarding KEY2GAMES’s services, they are instructed to submit it via email to support@key2games.com. To ensure a thorough and effective review, it is imperative that complaints include a comprehensive description of the issue, pertinent supporting evidence, and a proposed resolution.

10.2. It is the commitment of KEY2GAMES to address and resolve complaints within 14 (fourteen) days of receipt.

10.3. Digital Products Policy

Upon the display of a digital product key on the Platform, i.e., at the point at which the aforementioned product key is visible on the Platform, the return of the product key is rendered infeasible.

10.4. Negotiation

In the event of a disagreement, the parties agree to first seek an out-of-court settlement through negotiation. The User is obligated to submit a written request to KEY2GAMES at support@key2games.com, stating the nature of the disagreement and the proposed solution. Within a period of 14 (fourteen) days, KEY2GAMES will provide a response, and both parties will endeavor to resolve the issue within 30 (thirty) days of the initial request.

10.5. Escalation to arbitration or litigation

In the event that negotiations are not successful, disputes may be submitted to binding arbitration conducted under the rules of the United Kingdom Arbitration and Mediation Center or a similar institution within the United Kingdom.

The arbitration agreement will be executed in the English language, and the decision rendered will be considered final and binding according to applicable law. Otherwise, disputes may be brought before the competent court in the User’s State of residence.

  1. Provisions

11.1. This agreement shall remain in effect perpetually. The agreement has been meticulously drafted and is subject to the prevailing legal framework of the United Kingdom.

11.2. Termination of the agreement is permissible for either party. The user may initiate this process by submitting a support request to https://key2games.com/contact-us/.

11.3. In the event that KEY2GAMES suspends the Agreement for any reason, KEY2GAMES shall have 14 (fourteen) days’ written notice to terminate the Agreement by deactivating the User’s profile.

11.4. The User may terminate the agreement at any time by requesting profile deletion, with confirmation to be provided by KEY2GAMES. The profile deletion process will be completed within 7 (seven) days.

11.5. Significant violations of current Terms & Conditions may result in immediate termination of the Agreement by KEY2GAMES.

11.6. All correspondence with KEY2GAMES is to be addressed to support@key2games.com.

11.7. The interpretation and application of the Terms and Conditions are subject to the prevailing laws of the United Kingdom.

11.8. In the event that any provision is deemed invalid or inapplicable, the remaining provisions shall remain in full force and effect. In the event that such an invalid provision is identified, it will be replaced with a valid provision that reflects the original objective of the Agreement. It is important to note that this stipulation does not apply to users who are acting as consumers.
